1. Seller
[COMPANY LEGAL NAME] [SRL], registered office [FULL ADDRESS], Godinești, Gorj County, Romania; Trade Register No. [J18/XXX/YYYY]; EUID [ROONRC.J18/XXX/YYYY]; CUI [RO]XXXXXXXX; share capital [XXX] lei; e-mail contact@iacobici.com; phone [PHONE] („we”, „Iacobici Winery”). [Producer / excise registration no.: XXX, if applicable]
2. Scope
These terms apply to reservation requests made by e-mail or through this website for the Founder’s Edition, vintage 2025, two limited editions, a red and a white, each of 1,000 individually numbered bottles ([VOLUME] ml, [ABV]% vol.).
2a. Production in partnership
The Founder’s Edition 2025 is made in partnership with [partner winery], [locality], Mehedinți County, near the border with Gorj, to the blend and method set by Iacobici for each wine. The grapes come from [the partner’s vineyards in …, Mehedinți County]. No grapes from the Iacobici family vineyard are used until it has been replanted and is in production. The producer and bottler are named on the label as required by EU wine labelling rules. The Founder’s Edition is a wine without a protected designation of origin or geographical indication.
2b. Changes before release, and your right to cancel
Images of bottles on the website are digital renderings. Before release the label, capsule and packaging may change slightly; the name “Founder’s Edition”, the vintage and the numbering will not change. Published technical details are indicative until bottling: each share of the blend and the time in oak or on lees may differ from the published figure by no more than 5 percentage points, and the final alcohol content will be stated on the label. If a change exceeds these limits or is otherwise material, we will inform you in writing before delivery, and you may cancel your reservation or purchase and receive a full refund of all amounts paid, within 14 days of our notice. This right is in addition to your statutory rights.
2c. Proceeds
“Net proceeds” means the amounts paid by buyers for the Founder’s Edition, less VAT, excise duty and the actual cost of making the wine: the partner winery’s production and ageing, bottles, closures, capsules, labels, packaging and bottling. All of the net proceeds are reinvested in Godinești, in this order: the Iacobici cellar and the land around the family plot (Founder’s Edition), the winemaking equipment and the first hectare of vineyard (Keystone Edition), and the winery building and rooms for visitors (Homecoming Edition). The founders take no dividends from the proceeds of the editions. No other costs, margins or fees are deducted. Each year we will publish an account showing the amounts received, the costs deducted and how the net proceeds were used.
2d. Founder benefits
Every buyer receives a numbered certificate of authenticity and an Iacobici Founder card. Founder card holders are invited to tastings, to the harvest and to events at the winery, subject to availability and to prior registration. Benefits are personal and non-transferable, reserved for adults aged 18 or over, and may be adjusted with at least 30 days’ notice; any adjustment does not affect bottles already purchased.
2e. Not an investment
Buying the Founder’s Edition is a purchase of wine for consumption. It is not an investment, a loan or a participation, and it gives no share, ownership, profit, interest or other financial right in Iacobici, its company or its vineyard. Buyers are customers, not partners or members of the company.
3. Sale to adults only
We sell alcoholic beverages only to persons aged 18 or over. By submitting a reservation you confirm you are at least 18. We may ask for proof of age (ID document) at confirmation, at pick-up or on delivery, and we will refuse or cancel the sale if age is not proven. The courier will hand over the parcel only to an adult. We may also refuse to sell to anyone who appears intoxicated.
4. How reservations work
4.1. A reservation request is an expression of interest only. It is not an order and does not create a binding sales contract for you or for us. 4.2. Requests are handled in the order received, subject to availability. We may limit the number of bottles per person or household to [X] to give more people access to the edition. 4.3. We will reply by e-mail with either (a) a reservation confirmation stating the bottle number(s), the final price including VAT, any delivery cost, the payment method and deadline, and the delivery or pick-up arrangements, or (b) a notice that the bottles are no longer available. 4.4. A sales contract is concluded only when you accept our confirmation [and pay within [X] days / and pay at pick-up]. If you do not do so within the deadline, the reservation lapses and the bottles may be offered to others. 4.5. Each wine is offered in three number ranges at different prices: Nº 1 to 100, Nº 101 to 400 and Nº 401 to 1,000. The wine is the same in every range. Within a range, bottle numbers are allocated in order of confirmation, or at your request where available. A specific number is guaranteed only once stated in our confirmation. 4.6. Until a contract is concluded either party may withdraw from the reservation at no cost.
5. Price and payment
Prices are in lei (RON) and include VAT. The prices displayed on the site for each number range are indicative until confirmed under 4.3. Payment methods: [bank transfer to IBAN … / card / cash at pick-up]. An invoice will be issued for each sale.
6. Delivery and pick-up
Delivery and pick-up arrangements are [to be announced] and will be stated in the confirmation. Options may include pick-up at the winery in Godinești, Gorj, and/or courier delivery within [Romania]. Risk passes to you when you (or a person you designate, who must be 18+) take physical possession of the bottles. Please check the parcel at delivery and report any damage within [48 hours] with photos.
7. Right of withdrawal (distance contracts)
7.1. If the contract is concluded at a distance (by e-mail/online, without both parties being physically present, including when you pay remotely), you have the right to withdraw within 14 days without giving any reason, under Government Emergency Ordinance (OUG) 34/2014. 7.2. The withdrawal period expires 14 days after the day on which you, or a third party you indicate (other than the carrier), take physical possession of the goods. 7.3. To withdraw, inform us by an unequivocal statement (e-mail to contact@iacobici.com or letter to the address above). You may use the model withdrawal form in the Annex, but it is not obligatory. 7.4. We will reimburse all payments received, including standard delivery costs, within 14 days of receiving your withdrawal notice, using the same payment method unless agreed otherwise. We may withhold reimbursement until we receive the bottles back or proof that you have sent them. 7.5. You must send back the bottles within 14 days of notifying withdrawal. You bear the direct cost of returning the goods. [Alternative: we collect them at our cost.] You are liable for any diminished value resulting from handling beyond what is necessary to establish the nature and characteristics of the goods (e.g. opened bottles, removed capsule or seal, damaged labels). 7.6. If you buy and collect the bottles in person at the winery, the contract is not a distance contract and the statutory withdrawal right does not apply [optional: we nevertheless offer [X] days to return unopened bottles].
8. Conformity and complaints
The bottles are covered by the legal guarantee of conformity (Law 449/2003 and OUG 140/2021, as applicable). Wine is a natural product; normal sediment or tartrate crystals are not defects. Send complaints to contact@iacobici.com or [PHONE]; we answer within [15] days.
9. Disputes, ANPC and alternative dispute resolution (SAL)
If we cannot resolve a complaint, you may contact the National Authority for Consumer Protection (ANPC), https://anpc.ro, consumer line 021 9551, or use alternative dispute resolution (SAL) via the ANPC platform at https://reclamatiisal.anpc.ro (OG 38/2015). This does not affect your right to go to court. (The former EU online dispute resolution (ODR/SOL) platform was closed on 20 July 2025.)
10. Liability
Nothing in these terms limits liability that cannot be limited by law. Product images are illustrative; label and capsule may differ slightly.
11. Personal data
We process your data as described in our Privacy Policy.
12. Responsible drinking
We make wine to be shared slowly, not to be abused. Please read Drink less. Savour more..
13. Law and language
Romanian law applies, without depriving you of the protection of mandatory consumer law of your country of habitual residence. [These terms are also available in Romanian; for consumers in Romania the Romanian version prevails.]
